TERMS AND CONDITIONS

1. Acceptance of Terms
By accessing the website transakt.in (“Site”) or engaging Kalpesri Consulting Private Limited, trading as Transakt (“Company”, “we”, “us”, “our”), for payment-gateway referral and onboarding services (“Services”), you (“User”, “Merchant”, “you”) agree to be bound by these Terms and Conditions (“Terms”). If you do not accept these Terms, you must not use the Site or the Services.

2. Eligibility
You affirm that you are at least eighteen (18) years old, possess the authority to enter into legally binding agreements, and are acting on behalf of a duly registered business entity.

3. Scope of Services

  1. Transakt acts solely as an independent reseller and onboarding partner for licensed payment-gateway providers (“PG Partners”).

  2. We:

  • collect and package KYC/merchant information;

  • transmit such information to selected PG Partners;

  • coordinate activation and post-onboarding support.

  1. We do not provide payment-processing, acquire funds, or hold cardholder data. All transactional services are rendered directly by the PG Partner under its own terms.

4. User Responsibilities
You represent and warrant that:

  • all information supplied to Transakt is accurate, current, and complete;

  • you will update us promptly if any information changes;

  • you have obtained all necessary consents and authorisations to share personal or business data with us and PG Partners;

  • you will comply with all applicable laws, regulations, and the PG Partner’s separate terms of service.

5. Intellectual Property
All content on the Site—including logos, text, graphics, software, and design—is owned by or licensed to Transakt and is protected under Indian intellectual-property law. No content may be copied, reproduced, or distributed without prior written consent.

6. Privacy
Our collection and use of personal data are governed by the Transakt Privacy Policy. By using our Services, you consent to the practices described therein.

7. Disclaimers

  1. No warranty: Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.

  2. Third-party services: We do not warrant the performance, availability, or security of any PG Partner. Engagement with a PG Partner is at your own risk and subject to that partner’s separate terms.

  3. No professional advice: Information on the Site does not constitute financial, legal, or tax advice.

8. Limitation of Liability
To the maximum extent permitted by law, Transakt shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages. Our aggregate liability shall not exceed the lesser of (a) INR 10,000 or (b) the total fees paid by you to Transakt in the twelve months preceding the event giving rise to the claim.

9. Indemnity
You agree to indemnify, defend, and hold harmless Transakt, its directors, officers, employees, and agents from and against any third-party claims, losses, damages, penalties, or expenses (including reasonable attorneys’ fees) arising from:

  • your breach of these Terms;

  • your violation of any law or rights of a third party;

  • inaccurate or incomplete data you provide.

10. Termination
We may suspend or terminate your access to the Site or Services at any time, with or without notice, for conduct we believe violates these Terms or is otherwise harmful to Transakt, a PG Partner, or any other party. Sections 5–9, 11–13 survive termination.

11. Force Majeure
Transakt is not liable for any delay or failure in performance due to acts beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, power failures, or governmental actions.

12. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Courts of competent jurisdiction in Hyderabad, Telangana shall have exclusive jurisdiction. You agree to attempt to resolve any dispute amicably for thirty (30) days before filing suit.

13. Changes to Terms
We may modify these Terms at any time. Updated Terms will be posted on the Site with a “Last updated” date. Continued use of the Services after changes constitutes acceptance of the revised Terms.
